Welcome to KeepLoaded ("KeepLoaded," "we," "our," or "us"). These Terms of Service govern access to and use of the KeepLoaded platform, website, mobile applications, software, and related services.

By accessing or using KeepLoaded, you agree to be bound by these Terms.

KeepLoaded is a software platform designed to assist motor carriers, fleet operators, dispatchers, recruiters, and commercial drivers with workforce management, recruiting, compliance tracking, fleet management, communication, and operational efficiency.

Services may include:

• Driver recruiting and job matching
• Carrier and fleet management tools
• Vehicle management
• Driver qualification file management
• Compliance tracking and reminders
• Team and employee management
• AI-powered load recommendations
• Driver and carrier dashboards
• Payment tracking and reporting
• Document storage and management
• Operational analytics and reporting

KeepLoaded reserves the right to modify, add, or remove features at any time.

KEEPLOADED IS NOT AN EMPLOYER, STAFFING AGENCY, EMPLOYMENT AGENCY, MOTOR CARRIER, BROKER, OR TRANSPORTATION PROVIDER.

KeepLoaded provides software and technology services only.

Any employment, independent contractor, lease operator, owner-operator, recruiting, or business relationship formed through the platform exists solely between the carrier and driver.

KeepLoaded:

• Does not hire drivers
• Does not employ drivers
• Does not supervise drivers
• Does not control driver compensation
• Does not guarantee employment opportunities
• Does not guarantee driver qualifications

All hiring decisions remain the sole responsibility of the carrier.

Carriers agree that they are solely responsible for:

• Compliance with FMCSA regulations
• Driver qualification reviews
• Driver onboarding
• Safety compliance
• Vehicle maintenance
• Insurance coverage
• Payroll and compensation
• Drug and alcohol testing requirements
• Employment law compliance
• Verification of CDL credentials

KeepLoaded does not verify the accuracy of information submitted by drivers or carriers.

Drivers are solely responsible for ensuring all information submitted through the platform is accurate, current, and complete.

Drivers agree not to:

• Provide false information
• Misrepresent qualifications
• Upload fraudulent documents
• Use another individual's identity
• Circumvent platform protections

Drivers acknowledge that employment decisions are made exclusively by carriers.

KeepLoaded may provide tools to store and manage compliance documents including:

• CDL copies
• Medical certificates
• Driver qualification files
• Insurance documents
• Vehicle records
• Inspection reports

Users are solely responsible for ensuring all records are accurate, current, and compliant with applicable regulations.

KeepLoaded does not guarantee regulatory compliance.

KeepLoaded may provide fleet management tools including:

• Vehicle tracking records
• Maintenance schedules
• Driver assignments
• Compliance reminders
• Vehicle information storage
• Fleet reporting

These tools are informational only.

Users remain solely responsible for vehicle safety, maintenance, inspections, and regulatory compliance.

KeepLoaded may integrate with third-party services, including:

• ELD providers
• GPS tracking providers
• Payment processors
• Background screening providers
• Insurance providers
• Communication platforms

KeepLoaded does not control third-party systems and is not responsible for their availability, accuracy, security, or performance.

KeepLoaded may provide artificial intelligence features including load recommendations, recruiting suggestions, compliance alerts, and operational insights.

AI-generated content is provided for informational purposes only.

Users are responsible for independently verifying all recommendations and information.

KeepLoaded makes no guarantee regarding the accuracy or suitability of AI-generated outputs.

Users are responsible for maintaining account security.

You agree to:

• Maintain accurate account information
• Protect login credentials
• Notify us of unauthorized access
• Accept responsibility for activity occurring under your account

Certain services require paid subscriptions.

Subscriptions may be billed monthly or annually.

Unless otherwise stated:

• Fees are non-refundable
• Subscriptions automatically renew
• Users may cancel future renewals at any time

KeepLoaded reserves the right to modify pricing with advance notice.

Users may not:

• Violate applicable laws
• Upload malicious software
• Access unauthorized accounts
• Reverse engineer the platform
• Scrape platform data
• Harvest user information
• Misrepresent identities
• Interfere with platform operations

Violation may result in suspension or termination.

All software, branding, logos, designs, content, and technology associated with KeepLoaded remain the exclusive property of KeepLoaded.

No rights are granted except as expressly stated herein.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

KEEPLOADED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KEEPLOADED DOES NOT GUARANTEE:

• Driver placement success
• Employment outcomes
• Carrier profitability
• Compliance outcomes
• Platform availability
• Accuracy of third-party information

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPLOADED SHALL NOT BE LIABLE FOR:

• Lost profits
• Business interruption
• Regulatory penalties
• Employment disputes
• Driver misconduct
• Vehicle accidents
• Data loss
• Indirect or consequential damages

KEEPLOADED'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER DURING THE PRECEDING TWELVE (12) MONTHS.

Users agree to defend, indemnify, and hold harmless KeepLoaded, its officers, employees, affiliates, and partners from any claims arising from:

• User conduct
• Regulatory violations
• Employment disputes
• Misuse of the platform
• Violation of these Terms

KeepLoaded may suspend or terminate accounts at any time for violations of these Terms or for protection of the platform and its users.

These Terms shall be governed by and construed under the laws of the State of Wyoming, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located within Wyoming.
